Terms of Service

The agreement between your agency and MM Sanford, LLC for use of Tag Docket.

1. Who these terms are with

Tag Docket is operated by MM Sanford, LLC (“we”, “us”). The customer is the agency whose account we set up (“you”). By using the service you agree to these terms on behalf of that agency, and you confirm you are allowed to do so. The people you invite use the service under your account and these terms.

2. What the service does

Tag Docket is a registry for the campaign links, UTM parameters, short codes and QR codes an agency produces for its clients. It composes and records links, checks them against your own conventions and against public landing pages, and, where you connect one, reads a client’s Google Analytics 4 property to evaluate how links were tagged.

Warnings the service gives (about a landing page, a redirect, a missing analytics tag, a pairing of values or a link’s length) are advice. You decide what to publish, and you are responsible for the links you publish and the campaigns they belong to.

3. Accounts and access

Accounts are set up by us for each agency; there is no self-serve signup. People sign in with a link sent to their email address, and there are no passwords. You are responsible for who you invite, for the roles and client access you grant them, and for removing people who no longer need access. Removing someone keeps the links they made and their name on them.

4. Who owns what

  • Your agency owns the conventions it authored: the taxonomy of dimensions and values, pairing rules and templates.
  • Your client owns the records about them: the links, short codes and QR codes made for that client, and their history.
  • We own the service itself, including the software and the platform packs. We claim no ownership of your data or your clients’ data, and we process it only to provide the service.

You grant us the permissions needed to host, process and display that data to provide the service to you. We do not sell it, and we do not use it to train machine-learning models.

5. Export, and moving a client to another agency

Export is always available and always free, on every plan and after cancellation. [CONFIRM: including an account suspended for non-payment.]

A client may move to another agency that uses Tag Docket. The receiving agency requests the transfer, and the client approves it from their own email address. The outgoing agency cannot block or delay an approved transfer. When it completes, control of the client’s short codes passes exclusively to the receiving agency, the links move unchanged, and the outgoing agency keeps a read-only archive of the work it did, which no longer counts against its plan. You agree that your client, not your agency, authorises this.

6. Acceptable use

You agree not to:

  • use short codes or links to send people to malware, phishing or unlawful content;
  • use the service in breach of an advertising platform’s or Google’s own terms;
  • attempt to reach another agency’s data, or to probe, overload or disrupt the service;
  • resell access to the service to third parties outside your agency and its clients.

We may disable a short code that breaches this section, and will tell you when we do.

7. Plans and fees

Plans and prices are as published on the pricing page. Plans are metered by the number of clients, not by links or by seats. Adding a client beyond your plan is the only action a plan limit blocks. Accepting a client transferred from another agency is never blocked: the transfer completes, and we ask you to move to a plan that fits.

Paid subscriptions are billed through Stripe and renew automatically until cancelled. Plan changes can also be handled by invoice. [CONFIRM: proration on plan changes, and refund policy for time already billed.] We will give at least 30 days’ notice by email to account owners before a price change, which takes effect at your next renewal. 8. Failed payments

If a payment fails, a 14-day grace period begins. Your team keeps full access while the card is sorted out. [CONFIRM: what happens at the end of the grace period.]

9. Cancelling

You can cancel at any time. Cancelling deletes nothing. Your account moves to a limited plan, every client and link stays where it is, and export remains available. Short codes already printed keep resolving. [CONFIRM: whether and when data is deleted on a written request to close the account, and how long codes resolve after that.]

10. Short codes and printed pieces

Short codes are served from our domain. A retired code is disabled rather than deleted and shows a page explaining it is no longer in service. Retiring a client archives it; its codes keep resolving. We do not guarantee how long a code will resolve after the account that owns it has closed. [CONFIRM a minimum period.]

11. Third-party services

Connecting a client’s Google Analytics 4 property requires someone with admin rights on that property to grant read access to your agency’s service account. You confirm you have the client’s permission to do so. Google’s own terms apply to that property, and we are not responsible for changes Google or an advertising platform makes to its products, macros or limits.

12. Availability

We work to keep Tag Docket available and we monitor it, but standard plans carry no contractual uptime commitment. We may take the service down for maintenance, and will give notice in advance where the work is planned. [CONFIRM: whether Custom plans offer an SLA.]

13. Warranties and liability

The service is provided “as is”. We do not warrant that it will be uninterrupted or error-free, or that its checks will catch every problem with a link or landing page.

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental or consequential loss, lost profits or lost business, including campaign performance or reporting affected by a link. Our total liability arising out of these terms is limited to the fees you paid us in the twelve months before the claim. [CONFIRM cap.] Nothing here limits liability that cannot be limited by law.

14. Changes to these terms

We will email account owners before a material change takes effect, and update the effective date at the top of this page. Continuing to use the service after that date means you accept the revised terms.

15. Governing law

These terms are governed by the laws of the State of Wisconsin, and the courts of Wisconsin have exclusive jurisdiction over any dispute arising from them. [CONFIRM]
